These Terms of Service ("Terms") govern your access to and use of the SovereignChat platform ("Platform"), operated by KLS Digital Solutions Limited ("Company", "we", "us", "our"), a company registered in England and Wales.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
You must be at least 18 years of age to access or use the Platform. All users are required to complete biometric age verification through our third-party provider, Yoti, before accessing any content or services. No exceptions are made to this requirement.
The Platform is currently available only to users verified as residents of the United Kingdom or the United States. Jurisdiction is determined by the identity document country provided during verification, not by IP address.
To use the Platform, you must create an account by providing a valid email address, creating a password, and completing age verification. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at support@sovereignchat.uk if you become aware of any unauthorised use of your account.
SovereignChat is a B2B Software-as-a-Service platform that provides encrypted infrastructure for content creators ("Creators") to build and manage private communities ("Worlds"). Fans ("Users" or "Fans") may access Creator Worlds by purchasing creator-specific credits or subscriptions.
Creators must maintain valid age verification and a signed Creator Agreement at all times. Creators are required to provide government-issued identification for record-keeping purposes in compliance with applicable laws. Creators must comply with all applicable local, national, and international laws, including but not limited to the UK Online Safety Act 2023.
Creators are solely responsible for the content they publish within their Worlds, subject to Platform content policies.
The Platform charges Creators a flat monthly infrastructure fee based on their selected tier. The Platform does not take a percentage of Creator earnings.
Fans purchase creator-specific credits that can only be used within the specific Creator's World where they were purchased. Credits cannot be transferred between Creators, transferred to other users, or redeemed for cash by Fans.
Payment processing fees are paid by the purchasing Fan (the "Gross-Up" model) so that the Creator receives the full retail value of the credits. All pricing, including base price, processing fee, and applicable VAT, is displayed transparently before purchase.
No general refunds are issued once credits have been purchased. Exceptions are made only for documented technical failures (such as server outages that prevented service delivery) or confirmed fraudulent payment errors. Refund requests should be directed to billing@sovereignchat.uk.
The following content and conduct are strictly prohibited on the Platform:
Violation of these prohibitions may result in immediate account suspension, content removal, and referral to law enforcement where appropriate.
The Platform monitors public (unencrypted) areas using automated content scanning tools and manual review. End-to-end encrypted rooms are not proactively scanned by the Platform. Users may report content within encrypted rooms using the in-app reporting function, which decrypts only the specific reported content for administrative review.
Creators retain all intellectual property rights in the content they create and upload. By using the Platform, Creators grant the Company a limited, non-exclusive licence to host, store, and deliver their content to authorised users as necessary to operate the service.
We reserve the right to suspend or terminate any account that violates these Terms, our Acceptable Use Policy, or applicable law. Creators may voluntarily close their accounts subject to a 30-day notice period as described in the Creator Agreement.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform. The Company's total liability shall not exceed the amount paid by you to the Company in the 12 months preceding the claim.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
